It means that the GeoDirectory Framework will be upgraded as required, but not GDF Modern (there is no need, it is a child theme).

There is only a few there, but it might give you ideas.
And then there are these ones, for Genesis or GDF.That price package is the default package and therefore you cannot delete it.
I can see it is set to inactive so it should not show up on the add listing page.
I also cannot see it on your site.
Have you cleared your cache? Was the screenshot taken before you set it to inactive?Looks like you were able to fix it?
Yes, GDF Modern is a child theme, so you should be fine if that is what you are using.
GD Search is performed on title, description and taxonomies (tags and categories).
That would not have anything to do with S2, that should not affect your CSS at all.
Just have a look at the CSS used on the other site, review this for how to do it:

But they will both turn up in the normal WP result.S2 is used to register people, free or paid.
I worked on quite a few integrations, here is one: http://www.2cv.com.au/S2 is only for registration and then restricting content, if you choose so. It has no impact whatsoever on GD unless you choose so.
You can only have one registration/login system, and you will need to use S2 for that. Activate S2, and have a go at the setup. The S2 forum should be able to help if you get stuck.

I deleted your location page and then fixed it with the GD Tools.
There must have been something edited to the location page that was interfering, but replacing with a clean location page fixed it.There is an error in the links, I alerted the developers.
