You can create two Custom Post Types, and then link projects optionally to a developer.

That is correct. If you want to link galleries to a business, then you cannot link a business to a gallery.
So only galleries can be connected to a business, not vice versa.

You do not have overlapping subcategories. You have a SUB category and a parent category. If you do not want nested categories, change your subcategories to normal categories, and they no longer will overlap.

with GeoDirectory and the custom post type add-on you can create as many listing type as you want, each with its categories and sub-categories.

That comment is about Custom Post Types, it does not say you can have a listing in a subcategory without it being in a parent category.

It is easy enough to swapn themes, there is no easy way to achieve that same look.

You can try this:
GD > Design > Listings > set the sidebar to 48 and content to 48 too.
Then add the GD Listings map widget in the sidebar.
